1. Agreement to Terms

Welcome to Kuzié AI! These Terms & Conditions ("Terms") constitute a legally binding agreement between you and Xtratex Ltd ("we", "us", or "our"), and you ("you" or "your").

By accessing or using Kuzié AI, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our application.

2. Eligibility

You must be at least 18 years old to create a Kuzié AI account. By registering you confirm that you are 18 or older.

You represent that you have the legal capacity to enter into this agreement and that you are not prohibited from using Kuzié AI under the laws of your jurisdiction.

3. Account & User Conduct

To access certain features, you must sign in with your Google account. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

4. Community Hub & User-Generated Content

Our Community Hub allows you to share prompts and participate in discussions. You retain ownership of your content, but by posting, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating Kuzié AI.

Content Moderation: We actively moderate content. We may remove any content that violates these Terms at our sole discretion, without prior notice.

You are solely responsible for the content you post. You represent and warrant that you have all necessary rights to post the content and that it does not infringe any third-party rights.

5. Intellectual Property

All content, features, and functionality of Kuzié AI (including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software) are the exclusive property of Xtratex Ltd or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our service or included software without our prior written consent.

Access after completion. When you complete the programme you receive a certificate. You keep full access to the lessons for 7 days after the certificate is issued. After that, your account gives access to your certificate and results page and to the Kuzié AI community page only.

Teaching and commercial use. The lessons, practice prompts and materials are for your personal learning. You may not use them to teach, train or resell to others, in person or online, unless Kuzié AI has approved you as a registered facilitator under a separate written agreement. Approved facilitators have their full access restored for that purpose.

Leaderboards. Leaderboards are for motivation. They may include sample learners, and positions do not lead to any prize unless we announce one in writing.

6. AI Services

The AI Playground feature uses third-party AI services (currently Groq). We do not guarantee the accuracy, completeness, or usefulness of any AI-generated content.

AI-generated content is for educational and informational purposes only. You should not rely on it as professional advice (legal, financial, medical, or otherwise). We are not responsible for any decisions made based on AI-generated content.

7. Subscription & Payments (Future)

We may offer paid features or subscriptions in the future. Any such features will be subject to additional terms, which will be provided to you at the time of purchase.

All payments are non-refundable unless required by applicable law.

8. Advertising (Future)

We may display advertisements in Kuzié AI in the future. Advertisements will be clearly marked as such. Your interaction with advertisers is solely between you and the advertiser.

9. Termination

We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users.

You may terminate your account at any time by contacting us at support@kuzie.io. Upon termination, your right to use Kuzié AI ceases immediately.

10. Disclaimer of Warranties

KUZIÉ AI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XTRATEX LTD BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF KUZIÉ AI.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100) IF NO PAYMENTS WERE MADE.

12. Indemnification

You agree to indemnify, defend, and hold harmless Xtratex Ltd, our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of Kuzié AI, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Nothing in these Terms removes any mandatory consumer-protection rights you have under the laws of the country where you live.

We will first try to resolve any dispute informally if you contact us at support@kuzie.io. A dispute that cannot be resolved informally shall be submitted to the competent courts of the Federal Republic of Nigeria, without prejudice to any mandatory right you may have to bring a claim before the courts of your country of residence.

14. Changes to Terms

We may modify these Terms at any time. When we do, we will notify you by updating the "Last Updated" date and, for material changes, provide a prominent notice in the app. Your continued use of Kuzié AI after such changes constitutes your acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xtratex Ltd regarding Kuzié AI and supersede all prior oral or written agreements.
